Gender Diversity and Corporate Governance of Companies Listed on the Bucharest Stock Exchange

Abstract:
In the current context, characterised by the growing importance of corporate governance and plurality in leadership structures, gender diversity represents a relevant factor in analysing companies` financial performance, as well as in their compliance with and dissemination of various types of information. Starting from the premise that gender heterogeneity adds value through cognitive and social capital at the company level, this research aims to identify and analyse a potential association between gender diversity in corporate governance structures and companies` financial performance, as well as their degree of compliance with the provisions applicable to listing on the regulated capital market. In this regard, the research includes a review of the specialised literature, followed by a quantitative analysis based on a multiple regression model applied to companies listed on the Bucharest Stock Exchange (BSE) and included in the BET index. The research findings show a positive relationship between the proportion of women in leadership structures and financial performance; however, this relationship is not statistically significant. Thus, the relationship between gender diversity and compliance with the provisions of the Corporate Governance Code reflects a high degree of alignment between multiperspectivity and decision-making transparency, adding value to the decision-making process and from a demographic standpoint. The study provides insight into the role of gender diversity in corporate governance and lays the groundwork for broader future analyses.
