Abstract:
It is not enough to provide only corporate governance mechanism to maximize shareholders’ wealth by increasing banks` financial performance. The governance should ensure the interests of all parties involved in this mechanism, including the depositors, as lenders for banks. Quality management is essential in achieving these objectives; at international level a series of recommendations on corporate governance were developed, including the management bodies of companies, also applicable in the banking system. This study aims to address conceptual and empirical aspects of business administration in the banking system in Romania.
